CAI Warranty Statement

CAI warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards, by personnel with the skills, training, and experience appropriate to the work, and that deliverables will materially conform to the specifications set forth in the applicable Statement of Work.

If any services fail to conform to this warranty, and the client notifies CAI in writing within thirty (30) days following completion of the services, CAI will, at its option, promptly re-perform the non-conforming services. If CAI is unable to correct the non-conformance through commercially reasonable efforts, the client may terminate the affected services and receive a refund of the fees paid for the non-conforming services. Re-performance or refund is the client's exclusive remedy, and CAI's entire liability, for breach of this warranty.

This warranty does not apply to non-conformance arising from: (a) modifications to deliverables made by anyone other than CAI; (b) use of deliverables in a manner inconsistent with CAI's documentation or instructions; (c) client-provided data, materials, software, or systems; or (d) failures of third-party products or services not provided by CAI.

EXCEPT AS EXPRESSLY SET FORTH ABOVE OR IN A WRITTEN AGREEMENT SIGNED BY CAI, CAI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CAI DOES NOT WARRANT THAT SERVICES OR DELIVERABLES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ALL DEFECTS WILL BE CORRECTED.

Where CAI provides services under any contract, cooperative purchasing agreement, or master services agreement, the warranty terms of that agreement govern and supersede this statement.
